1. HERE'S HOW TO ENTER: Visit www.kennypowers.com (the 'Website') from 12:01 AM (ET) on 7/22/10 through 11:59 PM (ET) on 9/26/10 and follow the on-screen directions. Residents of Florida must enter on or after 7/28/10. A person can use only one email address to enter. Limit one entry per email address.

2. ELIGIBILITY: Open only to residents of the 50 United States and Washington D.C., who are 18 years of age or older at time of entry. Employees of Home Box Office, Inc. ('Sponsor') and its parent, affiliates, subsidiaries, advertising and promotion agencies ('Promotional Partners') and the immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and/or those living in the same household of each, whether or not related, are not eligible. Void where prohibited by law.

3. RANDOM DRAWING: Winners will be selected in a random drawing to be conducted on or about 9/29/10, from among all eligible entries received by Sponsor's designee, D.L. Blair, Inc., an independent judging organization whose decisions are final. Odds of winning will depend upon the total number of eligible entries received. Limit one prize per person/household.

4. PRIZES AND APPROXIMATE RETAIL VALUES: (1) Grand Prize - A 2010 Yamaha VX Deluxe Waverunner, which will be stylized and painted with vinyl finishing to resemble the "Panty Dropper" watercraft featured in Sponsor's series, "Eastbound & Down" and a Zeiman S-1 Trailer (ARV: $11,868); (10) First Prizes -- Eastbound & Down: Season One on DVD (ARV: $29.98 per prize.) Prizes consist of only the items specifically listed as part of the prize.

5. PRIZE CONDITIONS: All federal, state and local income taxes, insurance, licensing, registration and title fees are solely the responsibility of winner. All federal, state and local laws and regulations apply. No substitution or transfer of prize by winner permitted. Potential Grand Prize winner must sign and return an Affidavit of Eligibility/Release of Liability within 5 days of attempted notification. Noncompliance within this time period will result in disqualification without further notice and an alternate may be selected. Return of any prize/prize notification as undeliverable will result in disqualification and an alternate may be selected, time permitting. If Grand Prize winner is a minor in his/her state of residence, prize will be awarded in the name of his/her parent or legal guardian. Sponsor reserves the right to substitute prize of equal or greater value. Acceptance of prize constitutes permission to Sponsor and its Promotional Partners to use winner’s name, voice and/or likeness for purposes of advertising and trade without further compensation, unless prohibited by law. Sponsor does not make, nor in any manner is responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the Grand Prize, including but not limited to its quality, fitness for purpose or mechanical condition.

6. GENERAL RULES: Proof of submission is not proof of receipt of entry. Sponsor not responsible for incomplete, lost, late, damaged, illegible or misdirected mail/e-mail or for any technical problems, malfunctions of any telephone lines, computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. The sweepstakes may be cancelled, modified, terminated or suspended if infected by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes outside control of Sponsor which impairs or affects the administration, security, fairness, integrity, or proper conduct of this promotion. Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process and to cancel, modify, terminate or suspend the sweepstakes. In the event of termination, a random drawing will be held from all eligible entries received prior to the time of termination. By participating in this promotion, entrants agree to be bound by the Official Rules and the decisions of Sponsor and Sponsor’s designees, which shall be final and binding in all respects. By participating in the sweepstakes and/or accepting a prize, entrant agrees to hold Sponsor harmless against any and all claims and liability arising out of participation in this sweepstakes or use/misuse of prize. Entrants assume all liability for any harm or damage caused, or claimed to be caused by participation in this promotion or use or redemption of any prize, including death or bodily injury. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. If an entrant submits more than the stated number of entries permitted, and/or if the Sponsor suspects that an entrant attempted to obtain additional entries by using multiple email addresses, identities or any other method, all entries submitted by the entrant will be declared null and void. Any use of robotic, automatic, programmed, or the like methods of participation will void all such submissions by such methods. The sweepstakes may be cancelled, modified, terminated or suspended if infected by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes outside control of Sponsor which impairs or affects the administration, security, fairness, integrity, or proper conduct of the sweepstakes. Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with any entry process and to cancel, modify, terminate or suspend the sweepstakes. In the event of termination, a notice will be posted on the website and a random drawing will be held from all eligible entries received prior to the time of termination. Sponsor not responsible for typographical or other error in the printing of the offer, administration of the sweepstakes or in the announcement of the prize. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any sweepstakes materials and the terms and conditions of the Official Rules, the English Official Rules shall prevail, govern and control.
