1. HERE'S HOW IT WORKS: Visit www.comcast.net from 12:01 AM (ET) on 4/16/08 through 11:59 PM (ET) on 5/14/08 and follow the on-screen directions to enter the sweepstakes. Limit one entry per email address. If more than one entry is received per person, only the first such entry received will be eligible.

2. RANDOM DRAWING: Winners will be selected in a random drawing to be conducted by D.L. Blair, Inc., an independent judging organization whose decisions are final, on or about 5/21/08, from among all eligible entries received. Winners will be notified by mail. Odds of winning will depend upon the total number of eligible entries received.

3. PRIZES AND APPROXIMATE RETAIL VALUES: (1) Grand Prize - A 3-day/2-night trip for winner and a guest to an HBO Boxing event, specific location and travel dates to be determined by Sponsor (on/about Fall of 2008). Prize includes two event tickets, round-trip coach air transportation from major airport nearest winner's home, hotel accommodations (1 room, double occupancy) and $250 spending money for winner, awarded in the form of a prepaid gift card). (ARV: $3,250; actual retail value will depend on the winner's proximity to destination); (5) First Prizes - A boxing glove autographed by Oscar De La Hoya (ARV: $25 per prize); (25) Second Prizes - An HBO Boxing prize pack consisting of an official May 3rd Oscar de la Hoya fight t-shirt and hat (ARV: $25 per prize). If Grand Prize winner resides within 250 miles of destination city, Sponsor may substitute a $150 travel stipend in lieu of air transportation. Location of Grand Prize event is subject to change. If HBO Boxing event does not take place as scheduled, for reasons such as cancellation, preemption or postponement, or for any reason beyond the control of HBO, HBO's sole responsibility will be to award the remaining portions of the Grand Prize and no additional substitution or compensation will be provided. There is no retail value associated with autograph portion of First Prize. Prizes consist of only the items specifically listed as part of the prize. Sponsor reserves the right to substitute any prize with another prize of greater or equal value. Limit one prize per person/household.

4. GENERAL RULES: Open to only to residents of the 50 United States and Washington D.C. who are 21 years of age or older as of 5/14/08. Employees of Home Box Office, Inc., Comcast Interactive Media, LLC, their affiliates, subsidiaries, advertising and promotion agencies and the immediate family members and/or those living in the same household of each are not eligible. Void where prohibited by law. All taxes are the sole responsibility of prize winner. All federal, state and local laws and regulations apply. No substitution or transfer of prize by winner permitted. Proof of submission is not proof of receipt. Neither Sponsor nor Promoter are responsible for incomplete, lost, late, damaged, illegible or misdirected mail/e-mail or for any technical problems, malfunctions of any telephone lines, computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Neither Sponsor nor Promoter are responsible for any damage to any participant's computer system/software related to or resulting from participation or downloading any materials in this promotion. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Any use of robotic, automatic, programmed, or the like methods of participation will void all such submissions by such methods. The sweepstakes may be cancelled, modified, terminated or suspended if infected by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other causes outside control of Sponsor which impairs or affects the administration, security, fairness, integrity, or proper conduct of this promotion. Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process and to cancel, modify, terminate or suspend the sweepstakes. In the event of termination, a notice will be posted on the promotional website and a random drawing will be held from all eligible entries received prior to the time of termination. Potential Grand and First Prize winners must sign and return an Affidavit of Eligibility/Release of Liability within 7 days of attempted notification. Noncompliance within this time period may result in disqualification and an alternate will be selected. Travel companion of Grand Prize winner must be 21 years of age or older as of date of travel. All travelers must execute a Release of Liability prior to ticketing and must possess required travel documents (e.g. valid photo I.D.) prior to departure. All travelers must agree to travel on dates specified by Sponsor; travel destination and dates of departure and return are subject to change. Any Sponsor approved changes to confirmed travel itinerary, made at winner's request, may result in rebooking fees which will be the sole responsibility of winner. Return of any prize/prize notification as undeliverable will result in disqualification and an alternate may be selected. Submission of any entry to this Sweepstakes constitutes the grant of a perpetual, worldwide, irrevocable license to Sponsor, Promoter and their promotional partners to use winner's name, voice and/or likeness, in all media whether currently existing or created in the future for purposes of advertising and trade without further permission, notification or compensation, unless prohibited by law. By participating in this promotion, entrants agree to be bound by the Official Rules and the decisions of the judges, Sponsor and Promoter. By accepting prize, winners agree to hold Sponsor and Promoter harmless against any and all claims and liability arising out of use of prize. Winners assume all liability for any injury or damage caused, or claimed to be caused by participation in this promotion or use or redemption of any prize. Neither Sponsor nor Promoter are responsible for typographical or other error in the printing of the offer, administration of the sweepstakes or in the announcement of the prize. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any sweepstakes materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. 5. RELEASE By submitting an entry to this Sweepstakes, entrant agrees that Sponsor and Promoter, their respective agents, subsidiaries and affiliated companies, and the agents, employees, directors and officers of those companies, are not liable whatsoever for any injuries, losses or damages of any kind resulting in whole or in part, directly or indirectly, from the Sweepstakes, and the acceptance, possession, use or misuse of any prize (or any travel or activity related thereto) or from entrant’s participation in this Sweepstakes.

6.DISPUTES. Entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Southern District of New York or the appropriate New York State Court located in New York City, New York; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant, Sponsor and Promoter in connection with the Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

7.DATA COLLECTION. The information collected by Sponsor and/or Promoter in connection with this Sweepstakes may be shared by Sponsor and Promoter. Any information collected by or shared with Promoter is subject to the comcast.net Privacy Policy, located at: http://www.comcast.net/privacy/, and any information collected by or shared with Sponsor is subject to the HBO Privacy Policy, located at http://www.hbo.com/corpinfo/privacy.html.

8.WINNER LISTS. For the names of winners, send a self-addressed (#10) envelope to: Comcast & HBO Boxing "Countdown to Fight Night" Sweepstakes Winners, PO Box 5538, Blair, NE 68009-5538, to be received by 6/18/08.
